POSITION SUMMARY AND PURPOSE

The Contracts consultant will serve as Q2IMPACT’s advisor on contractual, compliance, and procurement matters. They are responsible for supporting contract administration functions for major U.S. Government (USG) contracts, primarily with the U.S. Department of Defense (DOD) and U.S. Department of State (DOS). Working closely with internal stakeholders, they will help ensure that Q2IMPACT properly manages prime and sub-tier government contracts, maintains compliance with regulations and accounting standards and identifies risks and opportunities within contract vehicles. The consultant will provide assistance in interpreting, applying, and ensuring compliance with contractual obligations, company policies and standard operating procedures (SOPs), and contract or award terms and conditions. They will contribute to the development and revision of policies, procedures, and processes to align with best practices.

PRIMARY RESPONSIBILITIES

The Contracts consultant will support the Programs and Business Development (BD) teams by providing guidance and counsel on matters that fall within their area of expertise. They will provide timely and high-quality support for contractual and procurement questions and issues, to help ensure that Q2IMPACT is able to achieve its organizational objectives. Responsibilities may include, but are not limited to, the following:

Business Development

  • Participates in new business strategy, including analyzing risks for bid decisions and providing input on contracts and compliance requirements, banking arrangements, procurement considerations, and labor laws

  • Supports live bid efforts, which may include, but is not limited to, reviewing cost proposals, pricing bids, reviewing and negotiating subcontractor budget estimates, completing NDAs and teaming agreements, analyzing solicitations for questions, completing representation and certifications, supporting risk mitigation, and any other requirements

  • For non-USG bids, reviews solicitation documents and budgets to support compliance with new client regulations

Contract Administration and Grant Management

  • Manages procurement, grant and compliance procedures and internal policies as applicable to specific donor and regional needs including USG (DOS, DOD, USAID, etc.)

  • Supports field procurement; advises on compliance with company's procurement, grant making, anti-corruption, and due diligence processes

  • Advises on project subcontractor / grant management procedures and ensures compliance with the Q2IMPACT’s SOPs and guidelines and client's rules and regulations

  • Prepares, updates and customizes appropriate procurement, grant, and other compliance templates to be used by implementing teams in HQ and field to conduct procurements, grant making, and other contractual actions

  • Manages relationships with government procurement teams and partners such as subcontractors and sub-recipients

  • Creates brief compliance profiles for new and ongoing projects for reference and guidance and update them as necessary

  • Supports the Programs team on all contractual matters and, as needed, communicate directly with clients on matters affecting contracts

  • Reviews and negotiates new funding agreements and assures compliance of funding terms and conditions are appropriately reflected in the subawards through the agreement life-cycle

  • Develops compliant corporate contract templates including but not limited to subcontracts, teaming agreements, purchase orders, and employment/consulting agreements, and ensures that the template library is accurate, complete, and up-to-date

  • Supports Programs team when they need assistance with drafting or reviewing documents and requests that are submitted to the Contracting Officer (CO)/client

  • Supports Programs team with reviewing and submitting contract modifications to prime and subcontracts

  • Performs necessary due diligence to ensure cost/pricing reasonableness and compliance with applicable USG and/or client regulations

  • Participates in contract start-up, implementation, and close-out procedures ensuring compliance with terms and conditions of the contractual agreement and client/corporate policies and procedures

  • Maintains corporate compliance in the U.S. Federal government and multilateral donor databases

  • Advises on the implementation of grants under contract

  • Provides training to HQ and Field staff regarding contract matters, procurement processes, and compliance in collaboration with Programs team

  • Maintains records retention and serves as central contract and subcontract files; compiles and analyzes contract-related data and maintains historical information

  • Supports internal and external audit processes and provide advice as required to be compliant with Q2IMPACT policy; assist with the development of policies as required to cover gaps highlighted during compliance reviews

EDUCATION, EXPERIENCE, SKILLS, AND QUALIFICATIONS

  • Bachelors’ degree in an appropriate discipline

  • At least eight years of progressive contract administrative experience, including a full range of Government service and supply contracts, CPFF, FFP, T&M, CPAF contract types

  • Strong demonstrated knowledge of contract terms and conditions, including FAR/DFARS/DOSAR, as well as knowledge of Federal Travel Regulations and GSA Schedules

  • Experience with FAR 15 negotiated contracts, FAR 12 commercial items contracting, GSA as well as 2 CFR 200 based assistance instruments

  • Experience administering DoD, DoS, and/or USAID long-term overseas contracts

  • Demonstrated experience with innovative federal acquisition strategies and emerging contracting mechanisms—including Other Transaction Authorities (OTAs), Commercial Solutions Openings (CSOs), and similar non-FAR approaches—to accelerate procurement and integration of emerging technologies in support of mission-driven objectives.

  • Ability to perform tasks without appreciable direction

  • Experience developing solutions to complex problems and providing contractual advice and analysis to ensure that the business achieves its financial objectives

  • Strong orientation to customer service and client satisfaction, and an ability to foster productive team relationships and work in a team environment

  • Demonstrated understanding of how terms and conditions affect prices and schedules

  • Demonstrated ability to conduct timely negotiations and resolve customer issues, and optimize cash flow in contract management and negotiations

  • Ability to communicate efficiently, including excellent negotiating and writing skills are required

  • English fluency is required; excellent communication skills, and ability to provide briefings to management, partners, and clients

  • Must have the ability to obtain a security clearance to access classified information

  • Experience with Subcontract and JV administration, including NDAs & Teaming Agreements

Preferred Qualifications

  • Master’s Degree in a related field or JD preferred

  • Certified Professional Contracts Manager (CPCM) certification

  • Experience working with teams on large and complex projects with a high-risk profile

  • Working knowledge of international business, corporate structures, and governance; sound understanding of international contracting, grant, and cooperative agreement regulations

  • Experience in commercial transaction, financial institution, or consulting environment desirable
